I use midilocator. its free, but for 15 bucks you can upgrade to piano roll version. then you can edit and input notes much easier. The help file sux as do most sequencer help files. Its not compatible with XP supposedly, but I use it on XP with no problems. you may find it at midilocator.com

You cannot successfully convert from mp3 to midi, the other way around is ok and there is tons of stuff on the net for free.
Anvil Studio is a common free one listed often on these boards.

To convert Midi to Mp3 you must record your Midi-File with a audio-editing-program like "WaveLab".
A very good Sequencer is the NoteWorthyComposer. it's free ^^

I use Anvil Studio, because it requires absolutely no Midi keyboard stuff, I can play notes off of my own USB computer keyboard. It takes a little getting used to where the notes are if you're a regular piano player, I guess, but I think it also is compatable with the keyboard hookup stuff if you have it.
I don't have it, so I haven't gotten a chance to test that out.
